Terms & Conditions

The terms on which Chip & Chance provides casino-themed offline event entertainment in Canada. The most important clause is the second one.

1. Parties and scope

These terms apply between Chip & Chance (“we”, “us”, trading as Chip & Chance), registered in Canada at 154 Kelsey Blvd, Churchill, MB R0B 0E0, Canada, and the person or organisation booking our services (“you”, “the client”).

They govern both the use of chipandchance.com and the provision of our event services. Where a signed quote, booking confirmation or separate written agreement says something different, that document prevails over this page.

2. What the service is

We provide casino-themed offline event entertainment: the supply of themed tables, equipment and trained hosts for private and corporate events, delivered in person at a venue chosen by the client.

Our services include, as set out on your quote: corporate casino evenings; private parties; VIP events; poker-themed dinner evenings; roulette, blackjack and poker-themed table entertainment; mobile casino table hire; full event production; team building; professional croupiers and hosts; and branded chips, tables, cards and photo zones.

Maximum capacity is up to 350 guests and maximum running time is up to 6 hours, in each case subject to the venue and to what is stated on your quote.

3. What the service is not

This clause is not boilerplate. It is the defining limit of what we sell, and it is not negotiable.

  • The service is not gambling and is not offered as gambling.
  • There are no bets, stakes or wagers of any kind, in any amount.
  • There is no real-money play. Money is never accepted at, or paid out from, a table.
  • Chips and points cannot be purchased, topped up, redeemed, cashed out or settled.
  • There are no cash prizes and nothing exchangeable for money or for anything of monetary value.
  • We provide no online casino, platform, website or application on which anyone can play. The service exists only in a physical room.
  • We are not a betting operator and do not accept, broker or facilitate any wager, directly or through any third party.

We will decline any booking, instruction or variation that would require otherwise, and we may stop an event in progress and leave the venue if real-money play is introduced by anyone. In that event, the full fee remains payable.

You agree not to describe, advertise or promote an event we are delivering as gambling, betting, or an opportunity to receive money or anything of monetary value.

4. Adults only

All events are strictly for adults aged 18+ and over. Where a venue, a province or your own policy sets a higher minimum age, the higher age applies.

Responsibility for the guest list is yours. Our hosts will support your venue’s age checks at the door, and will not run a table for any guest who appears to be below the applicable age and cannot confirm otherwise. Persistent breach entitles us to stop play, and the full fee remains payable.

We do not market to minors and do not depict minors in any material we produce.

5. Chips, points and recognition

Chips and points are scorekeeping counters. They are issued free of charge, in equal quantities, and carry no monetary value, no denomination and no currency symbol. They are our property unless your quote states that branded chips are to be kept by guests as a favour.

You may arrange recognition for guests who finish with the most chips — a trophy, a toast, a mention in the closing remarks or a non-monetary gift. We will organise standings and announce them if asked.

We will not arrange, administer or facilitate any prize consisting of money, a cash equivalent, a voucher redeemable for cash, or anything else of monetary value. If you choose to provide a gift independently, you are responsible for it and for any tax or regulatory consequence of doing so.

6. Booking and confirmation

An enquiry is not a booking. The sequence is: enquiry, planning discussion, written quote from us, your written acceptance, then a booking confirmation from us. The date is held only once we have issued that confirmation.

Quotes are valid for the period stated on them. Availability is not reserved while a quote is under consideration, and in peak periods a date can be taken by another client in the interim.

7. Payment terms

We do not publish prices. Each event is quoted individually, because pricing depends on event size, venue and chosen format, and we prepare a quote based on your bespoke event concept.

Your quote states the full commercial terms, including:

  • the fee for the services specified;
  • the booking retainer required to confirm the date, and when it is due;
  • the balance and its due date;
  • travel, freight and crew accommodation, shown as separate lines;
  • any applicable taxes;
  • accepted payment methods and any late-payment charge.

No amount is payable by guests at any point. Guests do not pay to play and are never charged at a table.

8. Changes and rescheduling

Tell us as early as you can if the date, venue, guest count or format changes. We will accommodate a change where crew and equipment allow, and will tell you promptly if we cannot.

A change may alter the fee — for instance where a new venue is further away, or a higher guest count requires additional tables and crew. Any revised amount will be confirmed in writing before it takes effect. Specific rescheduling windows and charges are stated on your quote.

9. Cancellation

Cancellation must be given in writing to [email protected]. Cancellation charges depend on how much notice we receive and are set out on your quote, since crew and freight for a remote venue are committed much further in advance than for a city centre booking.

We may cancel if the venue is unsafe or unsuitable for the equipment, if a requirement of these terms is breached, or if an event of force majeure prevents delivery. Where we cancel for a reason that is not your fault and not force majeure, we will refund sums paid for services not delivered.

10. Your responsibilities

You are responsible for:

  • the venue, its hire terms and any permissions, licences or insurance it requires;
  • a level floor, a safe load-in route and access for the agreed load-in and strike windows;
  • a standard power supply where table lighting is part of your quote;
  • the guest list and its compliance with clause 4;
  • all catering, alcohol service and any licence those require — we supply none of it;
  • security, crowd management and first aid at the event;
  • guest conduct, and for the condition of our equipment while it is in your venue.

11. Our responsibilities

We will:

  • supply the equipment and crew specified on your quote;
  • arrive in time to complete the agreed load-in before doors;
  • provide hosts briefed on these terms, including clauses 3 and 4;
  • run the tables for the agreed period;
  • strike, remove our equipment and leave the room in the condition we found it;
  • supply certificates of insurance to your venue on request;
  • tell you honestly, before you commit, if we think a room cannot hold what you have asked for.

We may substitute crew or equipment of equivalent standard where illness, travel disruption or equipment failure requires it.

12. Conduct and our right to stop play

Our hosts may pause or close a table, without that affecting the fee, where:

  • a guest attempts to introduce money, stakes or wagers;
  • a guest appears to be under the applicable minimum age;
  • a guest’s conduct is abusive, unsafe or threatening towards crew or other guests;
  • a guest is intoxicated to a degree that makes participation inappropriate;
  • continuing would breach these terms or a venue rule.

Our crew are instructed to exercise this discretion quietly and courteously. We also ask that guests who have experienced difficulties with gambling are not pressed to take part — see the Responsible Entertainment notice.

13. Equipment, damage and loss

All tables, chips, cards, lighting and accessories remain our property throughout. You are responsible for loss of, or damage to, our equipment while it is at your venue, other than fair wear and tear and other than damage caused by our own crew.

Where damage occurs, we will provide a written account of the repair or replacement cost. Specialist items such as wheels and bespoke felt can carry long lead times, which will be reflected in that account.

14. Liability

We maintain liability insurance appropriate to this work and will provide certificates to your venue on request.

To the fullest extent permitted by law:

  • our total liability arising from a booking is limited to the fee paid for that booking;
  • we are not liable for indirect or consequential loss, including loss of profit, loss of business, loss of goodwill or wasted expenditure on other suppliers;
  • we are not liable for the acts or omissions of your venue, caterer, AV supplier or any other third party;
  • we are not liable for loss or damage to guests’ personal property.

Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded. Nothing in these terms affects any non-excludable statutory right a consumer has under applicable Canadian consumer protection legislation.

15. Force majeure

Neither party is liable for failure to perform caused by an event beyond its reasonable control, including severe weather, closure or impassability of a winter road, cancellation of rail or air freight, flight cancellation, fire, flood, power failure, labour action, epidemic, act of a public authority, or venue closure.

Given where we are based and the venues we serve, this clause is used rather more often than it is in most industries. Where force majeure prevents delivery we will, in order of preference: reschedule at no additional fee; deliver a reduced service by agreement; or refund sums paid for services not delivered, less unrecoverable third-party costs already committed, such as non-refundable freight.

16. Intellectual property and images

All content on chipandchance.com — text, layout, design and imagery — belongs to us or is used with permission, and may not be reproduced without our written consent.

Where you supply logos or brand assets for branded chips, cards, felt or signage, you confirm you have the right to use them for that purpose and you permit us to apply them to those items for your event.

We will not photograph your event for our own use, or identify you as a client, without your written permission. This is why the examples published on this site are anonymised.

17. Privacy

Personal information is handled as described in our Privacy Policy, which is written to PIPEDA. Cookies and consent are covered in the Cookie Policy.

Please do not send us personal information about your guests. We never need a guest list to deliver an event.

18. Governing law

These terms are governed by the laws of the Province of Manitoba and the federal laws of Canada applicable in that province. The parties submit to the exclusive jurisdiction of the courts of Manitoba.

If any provision is found unenforceable, the remainder continues in effect. Nothing here limits a consumer’s statutory rights under applicable provincial law.

Service limits

Offline entertainment only. This is strictly offline event entertainment. There is no real-money gambling, no betting, no cash prizes, and no online casino service. Guests play with symbolic chips and points that hold no monetary value and cannot be exchanged for anything of value. Events are for adults aged 18+ and over.

Symbolic chips only

Guests receive unmarked chips or points at the start of the evening. They carry no monetary value, cannot be purchased, cannot be cashed out and cannot be exchanged for anything of value.

18+, checked at the door

Our hosts support your venue in checking age on entry. We do not run events for under-age guests and we do not market to them.

Offline, in your venue

Everything happens in a physical room, with physical tables and a human host. We operate no platform where anyone can play, and no app.
